THIS AGREEMENT is made effective the [XX] day of [Month], 2011/12, by and between StepfamilySystems.com and [ Speaker’s name ] .
	WHEREAS, StepfamilySystems.com is a currently a sole proprietorship, we state the process has started to become a recognized 501 (c) 3, Non Profit Corporation serving parents, stepparents and their children. WHEREAS, Speaker represents that he/she has established a presence in the field of shared parenting support, stepfamily care or a related field, or is a recognized expert in [ mental health/family law, etc. ] that is the subject of Speaker’s obligations and has agreed to provide certain informational/ educational content for StepfamilySystems.com Shared Parenting & Stepfamily Conference being held at the Anaheim Marriott Suites located at 12015 Harbor Blvd/Resort Way, Garden Grove, CA 92840 as provided in this Agreement. Projected attendance for the event is 350 attendees at $35 minimum admission with earliest registration option if exercised.
	NOW, THEREFORE, in consideration of their mutual promises, the parties agree as follows: 1. Engagement. (a) StepfamilySystems.com hereby engages Speaker to develop and provide information regarding [Topic ] for summertime event, 2012. Speaker is to check in no later than 45 minutes prior to their presentation at the Shared Parenting & Stepfamily Conference. Hours for speakers and support team members will fall between 8:00 am – 7:00 pm.  (b) Speaker shall devote such time, energy, skill, and experience to the performance of Speaker's duties as are required to develop and deliver a professional quality, accurate, and timely presentation. Specifically, Speaker shall be responsible for writing, developing, customizing, and delivering the content in a captivating manner. (c) StepfamilySystems.com will provide reasonable assistance to Speaker in providing presentation space at the Marriott Suites.  Delivery support the day of the event will be handled by StepfamilySystems.com with the support of an event planner with the assistance of the Marriott Suites staff. StepfamilySystems.com will pay the costs of the event’s facility fee, AV equipment, marketing, and advertising for the program. (d) StepfamilySystems.com will promote the event through its website and provide a Speaker’s Page with headshot/logo/biography/contact information to the extent the speaker provides and is acceptable to StepfamilySystems.com (e) StepfamilySystems.com will promote the event through the Anaheim Chamber of Commerce, Greater Riverside Chambers of Commerce, PTA venues, and Volunteer Center of Riverside County’s NonProfit Resource Center’s membership, through Tricia Powe’s Facebook and Twitter.com/StepfamilyTalk pages. These promotions are expected to reach about 6,000 contacts. Furthermore, StepfamiySystems.com will send out press releases as part of its marketing campaign March 1, 2012, and continue efforts up to one week before summertime event 2012. (d) Speaker agrees to co-promote the Shared Parenting & Stepfamily Conference through his or her established media contacts, memberships and professional associations.
	2. Compensation.  Speaker shall receive, in consideration of the performance of Speaker's obligations under this Agreement an Honorarium in a specific amount to be disclosed later than 5 days after the close of attendee registration period (to be determined).  It is understood that the Honorarium will be commensurate with the total of revenue produced by paid Attendees, Sponsors, and Vendors, less the facilities and event related costs, and including the amount of $2,600 as needed for the completion of the non-profit status and transition corporate identity. StepfamilySystems.com will reimburse plane fare and accommodations in the highest amount possible, split equally between all speakers for reimbursements after event related costs and the non-profit fee stated above are managed.
	3. Term and Termination. This Agreement shall be effective on the date indicated above and continue through the completion of Speaker’s Engagement obligations under this Agreement, or until terminated by StepfamilySystems.com with or without cause by giving two (2) weeks written notice to Speaker.  Performance of this Agreement by StepfamilySystems.com is contingent on condition of facilities the day of the event, already booked, at the Anaheim Marriott Suites.  If, for any reason beyond the control of StepfamilySystems.com, such as earthquake or flooding, event facilities named Anaheim Marriott Suites shall not be in acceptable condition, this Agreement may be terminated without penalty by either party.
	4. Rights and Data. Speaker represents and warrants that he/she has full power to make this Agreement, that the materials provided by Speaker have not been previously published in a manner that would affect StepfamilySystems.com rights in the program or materials, that the materials do not violate any statutory or common law copyright or other rights, that all due diligence has been observed to ensure that the materials are factually accurate, and that the materials do not include any content that is libelous, an invasion of privacy, or otherwise unlawful or actionable.  To the extent that any pre-existing works are contained in the materials submitted under this Agreement, Speaker represents and warrants that he/she has obtained full permission to use any or all such works of third parties, will provide to StepfamilySystems.com copies of such permissions upon request, and further has the power to and does grant to StepfamilySystems.com irrevocable, exclusive, worldwide, royalty-free licenses to use, execute, reproduce, display, perform, distribute (internally or externally) and prepare derivative works of any or all preexisting works. Speaker hereby indemnifies and holds harmless StepfamilySystems.com against any or all claims, losses, or damage incurred as a result of breach of Speakers representations or warranties, which shall survive any termination of this Agreement.
	5. Independent Contractor Status.   Speaker shall be deemed to be an independent contractor for all purposes of the Agreement.  Nothing contained in this Agreement shall be regarded as creating any relationship as employer, employee, joint-venture, partnership, or agency between the parties other than an independent contractor performing certain services. StepfamilySystems.com shall not withhold any taxes or other amounts from Speaker's compensation nor shall pay for unemployment compensation, workman's compensations, or the like. Speaker shall be solely responsible for the payment of all income, social security taxes, insurance, benefits, and the like.
	6.  Miscellaneous. Keynote Speaker shall receive his or her own page on StepfamilySytems.com for six months. He or she may list events, website, and other material throughout the year. All speakers will receive a no-cost two-year ad space in the Premiere Edition of the Nationwide Blended Family Home Living & Children's Directory. This Directory will be provided to a variety agencies, including, but not limited to day care centers, YWCA, Police Departments and Teacher's organizations. Accept or "Opt Out" to the left. StepfamilySystems.com grants permission to speakers to record speaker’s own presentation or that of any other speaker who has granted approved the recording. This Agreement shall be binding upon and the benefits shall accrue to the parties hereto, their respective heirs, administrators, successors and assigns. The waiver by StepfamilySystems.com of the breach of any provision of this Agreement by Speaker shall not operate or be construed as a waiver of any subsequent breach by Speaker.  This Agreement contains the entire agreement for each party.  It may not be changed orally but only by an agreement in writing signed by the party against whom enforcement of any such change, waiver, modification, construction, extension or discharge is sought. All of the provisions of this Agreement are distinct and severable, and if any provisions should, for any reason, be held to be invalid or unenforceable, then the valid and enforceable provisions hereof shall continue in full force and effect. StepfamilySystems.com and Speaker agree to the exclusive use of Mediation for resolution of any disputes arising under this Agreement. The headings preceding the paragraphs of this Agreement are intended solely for convenience in reference and form no part of this Agreement.   IN WITNESS WHEREOF, the parties hereto have set their hands and seals the day and year first above written.
